General Terms and Conditions of Business

General Information

  1. In respect to business relations of all types between Co Cosmetics Ltd. and its customers, the following General Terms and Conditions of Business hold true in their legally valid versions. Divergent conditions or general business practices of the customer have no legal validity unless a written agreement has been negotiated elsewhere.
  2. The product display in the online store does not constitute a legally binding offer but is rather a noncommittal online catalogue showcasing the product line, including shampoos, conditioners, and other hair care cosmetics... The customer can view all prior orders after logging in to the customer service pages of our website.
  3. Co Cosmetics Ltd. reserves the right to deny the promised service... It is then excluded that further legal claims be raised by the customer against Co Cosmetics Ltd.
  4. The contractual language is English.

Delivery

  1. Delivery occurs at the risk of the transportation company entrusted by Co Cosmetics Ltd... Should the customer be a “consumer” as defined by the laws of Malta, the risk transfers only upon delivery.
  2. All prices are in cash, including VAT/sales tax and packaging/handling... No additional transportation charges apply for deliveries within Malta (excluding Gozo).
  3. Domestic shipments within Malta (excluding Gozo) are free of charge. Co Cosmetics Ltd. does not offer delivery to Gozo or international destinations at this time.
  4. Co Cosmetics Ltd. only accepts purchases of not less than EUR 35.
  5. The goods should be examined immediately... with photographic evidence sent to info@coprofessional.mt.
  6. On special occasions, delivery will be prepared and dispatched within 5–6 hours... unless a definite date of delivery has been set in writing.
  7. Claims for damages against Co Cosmetics Ltd. arising from non-fulfillment of contract or delay are excluded unless premeditation or gross negligence can be established.

Rights of Refund on Online Purchases

  1. The customer has the right to return all articles... Punctual return is sufficient to satisfy legal deadlines.

    IN VIEW OF PUBLIC HEALTH CONSIDERATIONS, THE ABOVE CLAUSE IS ONLY VALID IF THE PRODUCT IS STILL SEALED.

  2. Consequences of Cancellation
    In case of an effective cancellation, both parties shall return the received goods and payments... Co Cosmetics Ltd., it begins with the receipt of the cancellation or returned goods.
  3. Financed Business Transactions
    If Co Cosmetics Ltd. finances the transaction through a loan and the customer cancels the transaction... the lender assumes the rights and obligations toward the customer.

Warranties and Claims for Damages

  1. Defects or damages due to faulty or inappropriate handling... are not covered by warranty.
  2. Naturally occurring signs of wear are excluded from warranty protection.
  3. If the customer accepts the goods despite prior knowledge... warranty rights exist only if the customer reserves these rights in writing immediately upon receipt.
  4. Warranty claims for transportation damages may only be enforced... except for consumers as defined under Maltese law.
  5. The warranty period for new articles is 1 month, starting from the passage of risk as per Maltese law.
  6. Warranty formalities are otherwise carried out in accordance with Maltese legal regulations.
  7. Co Cosmetics Ltd. is liable for damages only in cases of premeditation, gross negligence, or breach of a fundamental obligation... otherwise liability is excluded.

Due Dates and Payment Conditions

  1. Invoices issued by Co Cosmetics Ltd. are to be paid in full immediately via credit card unless otherwise agreed in writing.
  2. Co Cosmetics Ltd. reserves the right to decline cheques and other non-cash payment methods. Payments are accepted solely on account of performance.
  3. If the customer is in arrears with payment... Co Cosmetics Ltd. may charge interest or raise further legal claims for delay.

Reservation of Ownership

  1. Until all payment obligations have been fulfilled, delivered goods remain property of Co Cosmetics Ltd... including subsidiary obligations.
  2. The customer is not authorized to tender the goods to third parties... Co Cosmetics Ltd. accepts this relinquishment of future claims.

Place of Execution and Jurisdiction

  1. Legal jurisdiction is exclusively exercised by the Republic of Malta.
  2. The place of execution is Swieqi, Republic of Malta... for all business customers and public institutions.
  3. The exclusive place of jurisdiction for any legal proceedings... is also the Republic of Malta.

Final Clause

Should any of these individual contractual conditions become legally unenforceable for any reason, this does not affect the legal validity of the remaining agreements.
